Terms of Service

Last updated 9 October 2026

These Terms of Service (“Terms”) govern access to and use of Uktupus’s cloud ERP software, websites, mobile apps, and related services (the “Service”). By creating an account, signing in, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the company you represent.

1. Who we are

Uktupus is the cloud ERP platform operated under the uktupus.com brand. Questions about these Terms: hello@uktupus.com.

2. Accounts and companies

  • You must provide accurate registration information and keep credentials confidential.
  • The Service is organized around company workspaces. Company admins control membership, roles, and permissions within their company.
  • You are responsible for activity under your account and for ensuring users in your company comply with these Terms and applicable law.

3. License and acceptable use

We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to your plan entitlements and these Terms. You may not:

  • Reverse engineer, scrape, or overload the Service except as allowed by law
  • Share access outside your licensed company without our written consent
  • Upload unlawful, infringing, or harmful content
  • Interfere with security, multi-tenant isolation, or other customers’ data
  • Use the Service to build a competing product using our confidential materials

4. Your data

You (and/or your company) retain ownership of business data you submit to the Service (“Customer Data”). You grant us the rights needed to host, process, back up, and display Customer Data solely to provide and improve the Service. Our handling of personal data is described in the Privacy Policy.

5. Subscriptions and fees

Paid plans are billed according to the order, invoice, or checkout terms presented at purchase. Fees are non-refundable except where required by law or expressly stated in writing. We may change pricing with notice for the next renewal period. Failure to pay may result in suspension or termination of access.

6. Service changes and availability

We may update, improve, or discontinue features with reasonable notice when practical. We aim for high availability but do not guarantee uninterrupted service. Status updates are published at status.uktupus.com.

7. Intellectual property

Uktupus, the Service, and related software, branding, and documentation remain our property (or our licensors’). Feedback you provide may be used to improve the Service without obligation to you.

8. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for validating outputs for your accounting, tax, and operational decisions.

9. Limitation of liability

To the fullest extent permitted by law, Uktupus and its affiliates are not liable for indirect, incidental, special, consequential, or lost-profit damages. Our aggregate liability arising from the Service in any twelve-month period is limited to the fees you paid us for the Service in that period.

10. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, non-payment, legal risk, or misuse. Upon termination, your right to use the Service ends; we may retain Customer Data for a limited period as described in the Privacy Policy or your agreement, then delete or return it according to that policy.

11. Governing law

These Terms are governed by the laws applicable to our principal place of business, without regard to conflict-of-law rules, unless a written order form specifies otherwise. Mandatory consumer protections in your country of residence still apply where required.

12. Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after the effective date constitutes acceptance of the revised Terms.
